Sending partners a Non-Disclosure Agreement

Due to the high-profile nature of the clients that we work with, you may be asked by a partner to sign a Non-Disclosure Agreement (NDA). Automattic has a standard NDA contract process listed in the field guide that we use for our partners (███████████████). TAMs on the Special Projects Team should reference this page if they have any questions about NDAs at Automattic.

Here are the steps to send an NDA to a partner, including a predefined response if a partner happens to send us an NDA from their organization.

Doc generator

Go to Automattic’s Doc Generator tool (███████████████) and select “NDA” from the dropdown.

Enter partner details

Follow the prompts in the Doc Generator. Select Automattic for the type of NDA, enter the partner’s company/organization name, the partner’s first and last name, and the partner’s email.

Preview and send

After you enter the partner’s information into the Doc Generator tool, click the Preview Document button. You will be able to view the document. Review all of the partner information at the top and bottom to verify it is accurate. Once it is ready, click the Generate PDF and Email it >> button.

When the partner returns the NDA, post the signed PDF on P2 and ping our operations team to add the NDA to our Box folder and respective Linear entry. Make sure to forward a copy of the mutually signed NDA via email (███████████████) for record retention purposes.

Response to a partner’s NDA

You may encounter a partner who sends an NDA from their entity. If possible, we would prefer to have our partners sign Automattic’s NDA. In this scenario, here is a predefined note you can send to the partner:

For the NDA, we have a standard NDA with Automattic, and I’d be happy to send that along to you to review and sign. Would that work okay for you and [partner organization]? If you have any concerns with the contents of the agreement we can work together to remedy those concerns.

If the partner persists and would like to use their NDA, remember to follow our standards of communication with the partner and surface any questions or concerns you have with your team lead.
